Terms of Service

By accessing or using Cortex AI (the "Platform"), including any of its products available at studio.gtdev.ir or venture.gtdev.ir, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Platform.

These Terms apply to all visitors, users, and others who access or use the Platform. Please also read our Privacy Policy, which is incorporated into these Terms by reference.

Cortex AI provides AI-powered investment intelligence and venture studio management tools, including but not limited to:

• Cortex Venture — AI agents for deal-flow analysis, market research, opportunity mapping, and investment memos
• Cortex Studio — Portfolio management, venture studio workflows, and collaborative workspaces
• Shared infrastructure including authentication, projects, workspaces, reports, and analytics

Services are provided on both free and paid tiers. Features may differ between tiers and between the Studio and Venture platforms.

You must create an account to access most features. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately at support@gtdev.ir of any unauthorized use

Accounts are personal and may not be shared or transferred without our express written consent. You must be at least 18 years old to create an account.

Cortex Venture

Content generated by AI agents (market analysis, investment memos, opportunity reports) is provided for informational purposes only. It does not constitute financial, investment, legal, or professional advice. You are solely responsible for any investment decisions made using information from the Platform.

Cortex Studio

Studio workspaces may contain proprietary portfolio data. You are responsible for controlling access to your workspace and for ensuring collaborators comply with these Terms. GTech is not liable for data disclosed through workspace sharing settings you configure.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any regulations
• Attempt to reverse-engineer, scrape, or extract data from AI models or proprietary datasets
• Upload or process data you do not have rights to use
• Interfere with or disrupt the integrity or performance of the Platform
• Use automated means to access the Platform beyond our published API terms
• Resell, sublicense, or redistribute Platform outputs as a standalone product without our consent

Platform IP: The Platform, its design, AI models, workflows, proprietary algorithms, and all associated intellectual property are owned by GTech and its licensors. Nothing in these Terms grants you ownership of any platform IP.

Your Content: You retain ownership of all data, documents, and content you upload to the Platform ("User Content"). By uploading content, you grant GTech a limited, non-exclusive license to process that content for the sole purpose of providing the services to you.

AI Outputs: Reports, analyses, and other AI-generated outputs produced using your inputs are owned by you, subject to these Terms and applicable law.

Paid plans are billed on a subscription basis. By providing payment information you authorize us to charge the applicable fees. Subscriptions auto-renew unless cancelled before the renewal date.

All fees are non-refundable except where required by applicable law or expressly stated in our refund policy. We reserve the right to change pricing with 30 days' notice.

Credits purchased for AI usage expire as stated at time of purchase and are non-transferable.

Your use of the Platform is subject to our Privacy Policy. In summary, we collect and process data necessary to operate the Platform. We do not sell your personal data to third parties.

For enterprise customers with Data Processing Agreements (DPAs), the terms of that agreement supplement and, where in conflict, supersede these Terms with respect to data processing.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, GTECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-generated content may be inaccurate, incomplete, or outdated. You should independently verify any information before relying on it for business or investment decisions.

TO THE FULLEST EXTENT PERMITTED BY LAW, GTECH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE PLATFORM.

IN NO EVENT SHALL GTECH'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO GTECH IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD 100.

You may terminate your account at any time from your account settings. We may suspend or terminate your access at any time for violation of these Terms, non-payment, or at our discretion with reasonable notice.

Upon termination, your right to use the Platform ceases immediately. Sections 6, 9, 10, and 12 survive termination.

These Terms are governed by the laws of the jurisdiction in which GTech is incorporated, without regard to conflict of law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration or the courts of the governing jurisdiction.

We may update these Terms at any time. Material changes will be communicated via email or prominent notice on the Platform at least 14 days before taking effect. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
